Bending Spoons agrees to acquire Miro for $1.355 billion

Bending Spoons S.p.A. has agreed to acquire Miro in an all-cash deal valuing Miro at an enterprise value of $1.355 billion, which, with Miro’s net cash, implies about $1.79 billion in equity, with some shareholders reinvesting $295 million into BSP equity; closing is targeted for the fourth quarter of 2026 subject to regulatory approvals. The transaction, unanimously approved by both boards, will see Miro continue to operate independently until closing as BSP expands its portfolio through continued acquisitions and integration of such platforms.
