Glencore Weighs Faster Vesting for CEO Shares if Acquired

Glencore is discussing changes to CEO Gary Nagle’s compensation with shareholders that would accelerate vesting of his long-term share awards if a rival acquires the miner and he is replaced. Some shares would remain subject to restrictions on sale. The proposal addresses existing change-of-control terms that could leave awards unvested after a takeover, amid renewed attention to consolidation following Glencore’s failed merger talks with Rio Tinto over valuation and management disagreements. Glencore is also considering increasing the cap on Nagle’s long-term awards and modestly adjusting his base salary, though details remain under discussion.
