Innventure Faces Securities Fraud Class Action

Innventure and certain executives face securities-fraud class-action claims brought on behalf of investors who purchased the company’s stock from November 17, 2025, through August 13, 2026. The lawsuits allege that Innventure and its subsidiary Accelsius misled investors about a purported DarkNX agreement to deploy cooling technology at a 300-megawatt AI data center campus in Ontario, overstating projected revenue, cash flow and business prospects. A May 2026 research report questioned whether the project existed or whether DarkNX had the resources to complete it, and Innventure later disclosed that the deployment site was unavailable and removed the project from its internal bookings. Innventure shares fell about 55% on August 14 after the disclosure, according to the law-firm notices. Several firms are soliciting affected investors, with October 27, 2026, identified as the deadline to seek appointment as lead plaintiff; investors may participate without taking that role.
