Polyrizon closes $4 million financing as shares dip and dilution looms

Polyrizon Ltd. completed a roughly $4 million financing on Sept. 4, 2026, combining a registered direct offering and a concurrent private placement with one institutional investor. The company issued 232,500 ordinary shares, 30,000 registered pre-funded warrants, 70,833 private-placement pre-funded warrants and 333,333 warrants exercisable at $12 per share, potentially increasing its outstanding share count and creating dilution risk for existing investors. The pre-funded warrants are generally immediately exercisable, while the common warrants have five-year terms. Polyrizon said it will use the net proceeds, along with existing cash, for working capital and general corporate purposes. Its shares fell 3.34% to $12 after the financing closed.
