Trian-Led Group Offers $1.4 Billion for Wendy’s

Nelson Peltz's Trian Fund Management, with BlueFive Capital, Sixth Street Partners and Flynn Group, submitted a non-binding all-cash proposal on October 28, 2026, to acquire Wendy's for $7.35 per share, or about $1.4 billion. That is roughly a 20% premium over the October 27 close of $6.14. Trian holds about 16.3% and plans to roll over its shares. The deal would require no new debt and carry no financing condition, with existing securitization financing expected to remain. It is structured as a Delaware merger needing majority approval of outstanding shares. Shares rose about 15% in premarket trading. Flynn Group operates more than 340 Wendy's restaurants. Nelson Peltz and Greg Flynn signed the letter. The bid follows Wendy's dividend cut and guidance withdrawal around August 2026 and CEO Bob Wright's first earnings call that month on the chain's problems. Peter May and Bradley Peltz sit on the Wendy's board. WHAT'S CONTESTED: The record shows no material dispute on price, premium, valuation or buyer group; ownership appears as 16.3% or 16.25%. The proposal is non-binding pending special-committee review and definitive agreements. Wendy's had not immediately commented in the cited coverage.
