TTM Prices $500 Million Notes for Epiq Acquisition
TTM Technologies priced $500 million of 6.750% senior unsecured notes due 2034 to help finance its proposed $1.1 billion acquisition of Epiq Solutions, alongside planned $300 million and $800 million incremental term loans. The notes are guaranteed by subsidiaries supporting TTM’s senior secured credit facilities, and proceeds may also fund fees, general corporate purposes and borrowing related to its proposed acquisition of Swiss Technology Group. Although the bond offering and Epiq acquisition are not mutually conditional, TTM must redeem the notes at par plus accrued interest if the acquisition is not completed by the agreed outside date. The financing would significantly increase leverage as TTM expands in printed-circuit boards, radio-frequency components and other products serving AI infrastructure, defense and space markets, adding integration and balance-sheet risks despite strong operating momentum.
