Shell to take full ownership of Tri Star Energy, adding 320 sites

Shell is set to gain full ownership of Tri Star Energy, increasing its stake from 33% to 100% by purchasing the remaining interests from The Parman Corporation, Kimbro Oil Company and related units. The deal will add about 320 company-owned fuel and convenience sites in Tennessee and surrounding states and secure supply agreements for another 552 dealer-owned locations, expanding Shell’s U.S. retail footprint. Completion is expected by the end of 2026, subject to regulatory approvals and closing conditions. After the close, Tri Star Energy will be operated by Texas Petroleum Group LLC, a Shell subsidiary, further consolidating Shell’s southern U.S. retail network to roughly 550 company-owned sites and around 650 dealer-supplied locations. Tri Star’s portfolio includes convenience-store brands such as Twice Daily, Sudden Service and Little General, as well as the White Bison Coffee business, highlighting Shell’s tilt toward non-fuel forecourt retailing. The move situates Shell to deepen its presence in the U.S. downstream market and broaden its non-fuel offerings alongside traditional fuel sales.
