Vulcan Completes $39.4M Investment, Addresses Debt Maturity

Vulcan Infrastructure and Power completed an approximately $39.4 million strategic investment led by affiliates of Machine Investment Group and Atlas Holdings, with participation from Conversant Capital and company insiders. The financing included 17.1 million Class A shares sold at $1.71 each, a $10 million senior secured convertible note and a three-year warrant issued to Machine. Vulcan plans to use most of the proceeds to redeem about $33.1 million of 8.5% senior notes due in October 2026, while retaining funds for general corporate needs and project development. The company said the transaction strengthens its balance sheet as it develops energized sites for AI and high-performance computing data centers, with more than 100 megawatts of near-term opportunities and a 654-megawatt development pipeline. The financing was accompanied by board changes, including three new independent directors, as Vulcan seeks to expand its power and digital infrastructure platform.
